Ai Smart Hub is a UK-based sole trader business operated by Trevor Angel.
These Terms and Conditions govern the provision of website design, hosting, and related digital services provided by Ai Smart Hub.
By purchasing services from Ai Smart Hub and agreeing to these Terms, you enter into a legally binding agreement.
2. Services
Ai Smart Hub provides digital services including but not limited to:
Website design and build services
Website hosting and platform access
Chat and phone widget functionality
Enquiry capture with transcript delivery via email and SMS
Ongoing maintenance and support
Domain registration and management (where applicable)
All websites and associated services are provided on a subscription basis unless otherwise agreed in writing.
3. Fees and Payment
3.1 Setup Fee
A one-off setup fee is payable prior to website launch.
The website and associated services will not go live until the setup fee has been received in full.
Setup fees are non-refundable once work has commenced.
3.2 Monthly Subscription
The monthly subscription fee covers:
Hosting
Platform access
Maintenance
Widget functionality
Basic support
Subscription payments are billed monthly in advance.
Failure to make payment may result in suspension or removal of services.
3.3 Payment Authorisation
By completing payment and subscribing to Ai Smart Hub services, the Client authorises Ai Smart Hub to charge the agreed subscription fee automatically on a recurring monthly basis using the payment method provided.
The subscription will continue and payments will be charged until the Client cancels the service in accordance with Section 8 (Cancellation).
3.4 Digital Service Commencement
By purchasing services from Ai Smart Hub, the Client acknowledges that service setup and digital delivery may begin immediately after payment.
By proceeding with payment, the Client expressly agrees that the service may begin before the end of the statutory 14-day cancellation period under the Consumer Contracts Regulations 2013.
The Client understands that this may affect their statutory right to cancel once service delivery has begun.
4. Website Platform, Ownership and Access
Websites are built and hosted on Ai Smart Hub’s licensed white-label platform.
Clients are granted the right to use the website while subscription payments remain active.
Clients do not receive backend platform access unless explicitly agreed in writing.
The platform infrastructure, systems, hosting environment and technical framework remain the property and control of Ai Smart Hub.
Client-provided content (such as logos, images and text) remains the intellectual property of the Client.
If services are cancelled:
The website will be taken offline at the end of the billing period
Hosting and widget services will cease
Platform access will terminate
No ownership rights to the underlying platform transfer to the Client.
5. Domain Names
5.1 Registration and Management
Where Ai Smart Hub registers a domain name on behalf of a Client, the domain may be purchased and managed through Ai Smart Hub’s registrar account (including but not limited to Namecheap).
Administrative control of the domain remains with Ai Smart Hub while services are active.
5.2 Domain Use
If the Client has paid for the domain registration, the domain is considered purchased for the Client’s business use.
However, registrar access and management control remain with Ai Smart Hub during the active subscription period.
5.3 Renewal
Domain renewal fees are the responsibility of the Client unless expressly included within a service package.
Failure to pay renewal fees may result in domain expiration.
Ai Smart Hub is not liable for loss of a domain due to non-payment, expiry, or registrar-related issues.
5.4 Domain Transfer
Upon cancellation of services and settlement of all outstanding fees, Ai Smart Hub will provide reasonable assistance to transfer the domain to the Client or a registrar of their choice.
Ai Smart Hub reserves the right to withhold transfer where:
Outstanding invoices remain unpaid
There has been a breach of these Terms
5.5 Domain Responsibility
The Client is responsible for ensuring the chosen domain name does not infringe any trademarks or third-party rights.
Ai Smart Hub is not responsible for domain disputes or trademark conflicts.
6. Client Responsibilities
The Client agrees to:
Provide accurate and lawful business information
Ensure supplied content does not infringe copyright or intellectual property rights
Comply with all applicable laws and regulations
Ai Smart Hub is not responsible for inaccuracies in Client-provided materials.
7. Data Protection and Processing (UK GDPR / Data Protection Act)
7.1 Roles
For client websites:
The Client acts as the Data Controller
Ai Smart Hub acts as the Data Processor
7.2 Nature of Processing
Ai Smart Hub processes personal data solely for the purpose of delivering website services including:
Hosting
Operating chat and phone widgets
Transmitting enquiry transcripts via email and SMS
Personal data may include:
Name
Phone number
Email address
Message content
Text transcripts
No call recordings are stored.
7.3 Processor Obligations
Ai Smart Hub agrees to:
Process data only on the Client’s instructions
Implement appropriate technical and organisational security measures
Not use Client data for its own marketing purposes
Not sell or share personal data
Ai Smart Hub may use secure third-party service providers solely for the purpose of delivering the service.
8. Cancellation
Clients may cancel their subscription at any time.
Cancellation takes effect at the end of the current paid billing period.
No refunds are provided for unused time within a billing cycle.
Cancellation does not remove the Client’s responsibility to pay any outstanding charges incurred prior to cancellation.
Upon cancellation:
The website will be taken offline at the end of the billing period
Hosting and widget services will cease
Platform access will be removed
Ai Smart Hub reserves the right to suspend or terminate services in the event of non-payment or breach of these Terms.
9. Limitation of Liability
Ai Smart Hub shall not be liable for:
Loss of profits
Loss of business
Loss of revenue
Indirect or consequential losses
Total liability shall not exceed the amount paid by the Client to Ai Smart Hub within the previous three months.
10. Cookies
Websites use essential cookies only unless otherwise agreed in writing.
Clients are responsible for updating their own privacy policy if additional tracking, analytics or marketing tools are added.
11. Governing Law
These Terms are governed by the laws of England and Wales.
Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
12. Acceptance of Terms
By completing payment through Ai Smart Hub’s payment system or Stripe checkout and ticking the agreement box, the Client confirms that they have read, understood and agreed to these Terms and Conditions and the Privacy Policy.
Completion of payment constitutes acceptance of these Terms and forms the contract between the Client and Ai Smart Hub.
